Termination of the Letter of Intent with Emergence Resort Canada Inc

Exactsoft Corporation. signed a letter of intent with Emergence Resort Canada Inc., a Capital Pool Company whose shares were listed on the NEX Exchange, on July 20th, 2005. Today Exactsoft announces that it has terminated its negotiations with Emergence.

Exactsoft to be listed on the TSX Venture Exchange

Emergence Resort Canada Inc., a Capital Pool Company listed on the NEX Exchange has signed a letter of intent that will result in the acquisition of all issued and outstanding shares and securities of Exactsoft Corporation. The acquisition of Exactsoft shares and a private placement or public offering, are expected to be completed concurrently and shall constitute Emergence’s Qualifying Transaction in accordance with the policies of the TSX Venture exchange, corporate finance manual.

The proceeds from the private placement and/or public offering, together with the existing working capital shall be used by Exactsoft for a number of purposes including: technological needs, working capital, as well as for product commercialization activities and future acquisitions.
